PROCEDURES FOR REISSUANCE OF ENTERPRISE REGISTRATION CERTIFICATE

I am the director of one member limited company. Unfortunately, I lose my enterprise registration certificate. Now, I want to apply for the reissuance of enterprise registration certificate again, what should I do?

Thank you for your question. After studying the relevant law provisions, we would like to give you the opinions as follows:

1. Cases in which the enterprise registration certificate is reissued:

According to Clause 1, Article 68 of Decree No.01/2021/ND-CP on re-issuance of enterprise registration certificate and certificate of changes to enterprise registration information:

"1. In case an enterprise wishes to have its enterprise registration certificate, certificate of changes to enterprise registration information, certificate of branch/representative office registration, certificate of changes to branch/representative office registration information re-issued because it is lost, burned, damaged or otherwise destroyed, it shall send an application for re-issuance to the Business Registration Office of province where it is headquartered. The Business Registration Office shall consider re-issuing the certificate within 03 working days from the receipt of the enterprise’s request."

Thus, in your case, you are allowed to apply for re-issuance of enterprise registration certificate.

2. The application of re-issuance of enterprise registration certificate:

Dossiers consists of:

- An application for re-issuance (Appendix II-18 of Circular 01/2021/TT-BKHDT)

- Written authorization for individuals to carry out related procedures (if any);

- One of the personal identification papers such as: citizen identification card or identity card or Vietnamese passport for Vietnamese citizens; foreign passport or document with value to replace foreign passport for foreigners).

Consideration agency: Business Registration Office of province where the company is headquartered.

Time for consideration: 3 working days.
