"Each of the ten deal chapters is built around one structural tool, presented at the level of commercial logic - what problem it solves, what trade-off it prices, which constraint it routes around — with law explained only as scaffolding, so a practitioner in any jurisdiction finishes the book able to recognize the same ten moves in their own market and to ask the architect’s question: not “what is the price?” but “what shape must this transaction be?”
The book is arranged as a progressive toolkit rather than a chronology - consideration and currency, then closing certainty, then entity topology and tax, then government as counterparty, then distress and the sovereign limit. Chapter 1 sets out how deal structurers think; Chapters 2 through 11 are the case files; Chapter 12 assembles the tools into a working kit; Chapter 13 is the reference shelf. Read in order, the chapters build one cumulative thesis: in modern deal-making, structure is strategy, and structure design is a portable craft."
