"Every company repeatedly faces the same question: who has authority to decide, and who is accountable for the decision? The answer rarely appears in one place. Statute sets the starting point; the charter adjusts it where permitted; a shareholders’ agreement adds consent rights; and the board delegates authority. Alongside these formal arrangements, people with votes, board seats, titles or information exercise influence that no document confers.
This book is written for the people who have to make that answer work: directors, significant shareholders, chief executives, company secretaries, general counsel and their advisers. It uses no single jurisdiction as its frame of reference. It draws on areas of agreement among international governance frameworks and identifies differences in national law, with dates.
After reading it, a shareholder, director, CEO or adviser should be able to say, for any decision, who may decide it, who in fact influences it, what information and challenge it needs, how it is implemented and what happens if the arrangement fails."
